1. Acceptance of Terms
By accessing or using Hives.cloud services ("Services"), including Warden, Nectr, Vision, and 0xAPI5, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
These Terms constitute a legally binding agreement between you and Hives.cloud. We may update these Terms at any time, and your continued use of the Services constitutes acceptance of the updated Terms.
2. Description of Services
Hives.cloud provides enterprise-grade IT solutions for MSMEs, including:
- Warden: Active Directory as a Service for identity and access management
- Nectr: AI-powered professional email hosting
- Vision: Facial recognition-based attendance management
- 0xAPI5: Cybersecurity learning and community platform
3. Account Registration
To use our Services, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access
- Be at least 18 years of age or have legal authority to enter contracts
You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription and Payments
4.1 Pricing
Our Services are offered on a subscription basis. Prices are listed in Indian Rupees (INR) and are subject to applicable taxes (18% GST). We reserve the right to modify pricing with 30 days' notice.
4.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis
- Annual subscriptions may qualify for discounts as advertised
- Payment is due upon invoice unless otherwise agreed
4.3 Refunds
Refunds are provided on a case-by-case basis. Annual subscriptions may be eligible for pro-rated refunds within the first 30 days. Contact support for refund requests.
5. Acceptable Use
You agree not to use our Services to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malware, viruses, or harmful code
- Attempt unauthorized access to our systems
- Engage in spam, phishing, or fraudulent activities
- Harass, abuse, or harm others
- Interfere with the proper functioning of the Services
- Resell or redistribute Services without authorization
6. Data and Privacy
Your use of our Services is also governed by our Privacy Policy. You retain ownership of your data. By using our Services, you grant us a limited license to process your data as necessary to provide the Services.
You are responsible for ensuring you have proper consent to collect and process any personal data through our Services, including biometric data for Vision.
7. Service Level Agreement
We strive to maintain high availability:
- Target uptime: 99.5% for all Services
- Scheduled maintenance will be communicated in advance
- Credits may be issued for extended unplanned outages
Service levels may vary by subscription tier. Enterprise customers may negotiate custom SLAs.
8. Intellectual Property
All content, features, and functionality of our Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by Hives.cloud and protected by intellectual property laws.
You may not copy, modify, distribute, or create derivative works from our Services without explicit written permission.
9. Third-Party Services
Our Services may integrate with or contain links to third-party services. We are not responsible for the content, privacy practices, or terms of third-party services. Your use of third-party services is at your own risk.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, or error-free.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIVES.CLOUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Hives.cloud, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services or violation of these Terms.
13. Termination
Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination:
- Your access to the Services will be revoked
- You may request export of your data within 30 days
- Outstanding payments remain due
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.
15. Dispute Resolution
Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiations. If negotiations fail, disputes may be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
